About the role
Job Title: Director, Assistant General Counsel, APAC and Americas
Works closely with and have impact on: Hoya Corporation, Hoya Surgical Optics groups
Reports to: General Counsel HSO and HCL
Function: Global Legal
Work Location/Site: Singapore/GHQ
Role Overview
This position manages legal support to Hoya Surgical Optics division’s APAC (excluding China and Japan) and the Americas regions. He or she supports other matters as assigned by the Global General Counsel of Hoya Surgical Optics and Hoya Contact Lens divisions.
While exercising discretion, professionalism, and solid judgment, the position will also demonstrate an ability to work symbiotically with senior management teams in addressing both emergent and day-to-day legal and business opportunities and challenges.
Duties and Responsibilities

Be the main point of contact for legal and compliance support for APAC and the Americas

Structure and Draft life science/clinical or medical device related commercial contracts (e.g. supply, manufacturing, distribution)

Review and revise various agreements such as Master Services, Clinical Trial, Supply Chain, and Vendor agreements as necessary

Negotiate with sophisticated counterparties to secure favourable terms and protect the Company's interests

Assist in the development, implementation and monitoring of corporate policies, procedures, and programs to ensure compliance and mitigate legal risks

In collaboration with compliance counterparts and colleagues, undertake compliance related tasks and initiatives
-
Collaborate with other departments (for example, Human Resources, Regulatory Affairs, Clinical Research, Medical Affairs, Sales & Marketing, Operations, R&D, Global Functions) to identify legal issues and assist the business in achieving its goals/objectives in a legally compliant and ethical business practices. Advise on mergers and acquisitions, cross-border transactions and general corporate governance matters and work independently and with outside counsel in structuring and negotiating related transactional agreements

Assist the Human Resource functions in analysing, addressing, and resolving employment-related issues, manage the handling of employment disputes

Maintain a current working knowledge of new laws and regulatory developments so as to anticipate business and/or regulatory challenges and recommend process, product and service improvements

Collaborate closely with other key members of the Global Lega Department

Supervise outside counsel and monitor legal costs and expenses

Perform other duties as assigned to support the legal function and the organization's goals

Create and implement legal/compliance onboarding training programs aimed at educating new employees about important legal and compliance topics

Assist in conducting internal investigations into potential legal or ethical violations and recommend appropriate actions.

Collaborate with the Compliance team members to develop and implement compliance training programs and initiatives.

Collaborate with the Legal team members and stakeholders to draft and revise agreement templates.

Provide support for intellectual property matters, including patent, trademark, and copyright protection.

Collaborate with cross-functional teams on special projects and initiatives as necessary.
Requirements
Experience
-
12 years of progressive post qualification legal experience or more.
-
In house experience and life industry experience preferred although not required
-
Prior work in sophisticated commercial transactional practice, mergers and acquisitions, cross-border transactions, litigation management and corporate and healthcare compliance.
Skills/Accreditations/Education
Education
-
Master of Laws (LLM) or Bachelor of Laws (LLB) from a well-regarded university
-
Membership in good standing of a bar association in a western jurisdiction such as the US, UK, France, Germany
-
Additional qualification to practice law in an Asia jurisdiction (Singapore, Malaysia, South Korea, Australia, and India) preferred
